These Terms of Service ("Terms") govern your access to and use of the INITE website, platform, and related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

01

You must be at least 16 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. If you are using the Services for business, you represent that your use is permitted by your organization's policies and applicable law.
02

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized access or breach. We may suspend or terminate your account if we suspect violation of these Terms or fraudulent or abusive behavior.
03

Acceptable use

You must not: • Use the Services in any way that violates applicable laws, regulations, or third-party rights. • Attempt to gain unauthorized access to our or others' systems, accounts, or data. • Transmit malware, spam, or harmful or illegal content. • Reverse engineer, decompile, or attempt to extract source code of our Services except where expressly permitted by law. • Resell, sublicense, or commercially exploit our Services beyond the scope of your agreement without our written consent. • Use the Services to build a competing product or for benchmarking without our permission. We may suspend or terminate access and report violations to authorities where appropriate.
04

INITE Agents

INITE Agents is the part of the Services that serves a business's confirmed facts to AI agents. From the facts you confirm in the "For agents" tab of the cabinet, INITE publishes an MCP server and an A2A agent card at https://<slug>.inite.ai (where <slug> is your company's address in INITE), an llms.txt file, files under /.well-known and a WebMCP script. A connector serves the same files and head tags from your own domain: the INITE Agents plugin for WordPress, the @inite/site-agents package for Next.js, the snippet any site can paste into its head, or your own integration through our REST endpoints and webhooks. Facts and your responsibility • Nothing is published until your domain is proved, by a meta tag on its homepage or a DNS TXT record, and you confirm the facts. A first draft may be filled from an analysis of your site and from reading its pages. After that, what your site says differently is shown to you as a suggestion: nothing read from your site reaches the published facts until you accept it and confirm, with one exception you choose. • “Keep in step with my site” is off until the company's owner or an admin turns it on, and only after the domain is proved and a first version confirmed. While it is on, a value your proved domain states in its schema.org markup (JSON-LD or microdata), such as opening hours or a price, is published as a new version without your confirmation, exactly as your site writes it, and you receive a letter saying what changed. A value we read from the text of your pages is never published this way. You remain responsible for what your site states. • "Publish my catalogue" is off until the company's owner or an admin turns it on. While it is on, the products your store sends are published as the store holds them, with their prices and stock, without your confirmation each time, and marked as coming from your store. You remain responsible for what your store states. Pages, articles and events your connector sends are listed in your llms.txt as they are on your site. • What you confirm is public: any person or agent can read it. You are responsible for its accuracy and for your right to publish it, including any personal data in it, such as a phone number or an email address. Do not put there anything that must not be public. • You grant INITE a non-exclusive, worldwide, royalty-free licence to store, reproduce and publish the confirmed facts through the channels above for as long as they are published. • Each confirmation is kept as a version that is never changed afterwards. An edit stays a draft until you confirm it again. Articles • If you switch articles on, INITE measures search demand for queries built from your confirmed facts and proposes topics. For each topic you accept, an AI model writes a draft from your confirmed facts and from pages of your site. • Automated checks hold back a draft that contains a number, price or date not found in those sources, an invented first-person experience, a comparison with a competitor without a source, or a link outside your site and the pages read. They also hold back a draft whose opening paragraph does not answer the question, whose sentences are mostly too long to quote, or that names a service without writing its price. Passing them does not make a draft correct: you read it, may edit it, and approve or refuse it. An approved article carries an "Updated" line with the date of approval. • Nothing is published without your approval. A connector receives the text exactly as approved and posts it on your site, under your name and on your responsibility. • When you approve an article, INITE assigns to you all rights it holds in that text, to the extent the law allows; where an assignment is not possible, INITE grants you an exclusive, worldwide, royalty-free licence for the full term of those rights to use, change and publish it. INITE keeps the right to store the approved text and deliver it to your connectors and webhooks. Text written with the help of AI may not be protected by copyright in every jurisdiction, and we do not warrant that it is. What assistants say and your data • Once a month, and once right after your first confirmation, INITE asks AI models the questions a customer would ask about your business and shows in the cabinet, and in a monthly letter, where their answers differ from your confirmed facts. These answers are a model's, not INITE's; a difference is information for you, not a finding about your facts. • "Download my facts" in the "For agents" tab gives you everything kept for the site as a JSON file, without keys or secrets. • The robot access check opens your pages from our server under the names of public robots. Its result is a hint, not proof: a refusal of our request does not prove the robot itself is refused, and an open page does not mean a robot will read or cite it. • IndexNow in the WordPress plugin is off until you turn it on. While it is on, your site itself tells the search engines that use IndexNow its public addresses, and they handle them under their own terms. • "How did you hear about us" is off until you turn it on. The question is optional for your customers, and you are responsible for asking it under the laws that apply to you. Requests from agents • Requests are off until the company’s owner, an admin or a member turns them on in the “For agents” tab and chooses where they go. A request is the person’s message to you: INITE does not confirm, accept or book anything on your behalf, and the tools tell agents so. • You reply to requests yourself and are responsible for how you use the person’s contact data under the laws that apply to you. We cap requests per caller and per day and refuse duplicates and messages of links only, but we do not check that a request is genuine. • Turning requests off removes the tools from your MCP server and the WebMCP script at once. Requests already received stay in the cabinet until they are deleted, 180 days after they arrived. • The request page at https://<slug>.inite.ai/request takes the same request from a person directly, and the same rules apply to it. Reviews and Google Maps • "What your reviews prove" counts what reviews already read say about your business. The reviews are their authors' words, not INITE's. A count is information for you, not a finding about your business, and a quality nobody mentions may still be true. Quotes are shown only to your company; if you publish one elsewhere, you are responsible for your right to do so. • "Find my business on Google Maps" is part of INITE Agents Premium. What Google Maps says is shown to you as suggestions. Nothing from it is published until you accept and confirm, and you remain responsible for what you confirm. • For the extended Google Business Profile fields you tick (qualities, menus, the category you picked, links for appointments, reservations or orders), INITE writes your confirmed values only after you approve the preview. Google decides what it shows and may change or refuse a field. Agencies • A company registered as an agency may manage another business in INITE Agents only with the consent of that business's owner. The owner either accepts an invitation sent to their email address, signed in with that address, or takes over a company the agency set up for them. An agency must not invite, set up or manage a business that has not asked it to. • While it has access, the agency's people work in the business's cabinet as members: they see the facts, the checks and the requests from agents, and may edit the draft, prove the domain and connect the site. Confirming facts and approving articles publishes them. The agency does this only after the business's owner allows it in the "For agents" tab, and the owner can withdraw that at any time. Unpublishing, deleting, "Keep in step with my site" and directories stay with the owner and the company's admins. • The business remains responsible for what is published in its name, including what its agency confirmed. The agency answers to the business for what it does with its access, and to INITE for having the business's consent. • A company the agency set up has no owner until it is handed over, and nothing in it can be confirmed or published before then. If the agency ends it before the handover, the company is archived. • The owner or an admin of the business, or an admin of the agency, can end the access at any time, in the "For agents" tab or in the agency workspace. It ends at once, and the data stays with the business. • An agency may buy INITE Agents Premium for a client with its own account. Billing sells it per account, so one paying account covers one client. The agency's monthly report carries the agency's name and logo and goes only to the business's own people. No guarantee of results INITE does not guarantee that a search engine will rank your pages or articles, or that an AI agent or assistant will read, cite or recommend your business or repeat your facts correctly. Search engines and agents are run by third parties. Switching it off • In the "For agents" tab, the company's owner or an admin can press "Unpublish". From that moment <slug>.inite.ai, the public facts and the connectors stop serving the facts: a connector is refused and drops its copy at its next sync, and only a copy an agent or a browser already fetched may live a few minutes longer. While the facts are unpublished, no topics are measured and no drafts are written. The data, the versions and the site keys stay, and "Publish again" serves the last confirmed version without a new confirmation. Confirming a new version also publishes again. • "Delete everything" in the same tab, after you type the domain to confirm, removes the record with all its versions, site keys and their agent counts, webhooks, topics and articles. It cannot be undone, and <slug>.inite.ai stops answering for that site. • A single site key can also be switched off or revoked. From the next call the key is refused; the WordPress plugin and the Next.js package then drop their copy at their next sync and stop serving the files from your domain. • Switching articles off empties the queue a connector reads. Articles already posted on your site stay there, after unpublishing or deleting as well. How INITE Agents handles data is described in the INITE Agents section of our Privacy Policy.
06

Payment and fees

Fees for paid plans are as described at the point of purchase or in your order form. You agree to pay all applicable fees in the currency and on the billing cycle specified. Unless otherwise stated, fees are non-refundable. We may change pricing for renewals with reasonable notice. Failure to pay may result in suspension or termination of your access. Taxes are your responsibility unless we are required to collect them. Annual Visibility Analyzer licences are an exception: each is paid once for twelve months of access, does not renew automatically, and is refunded in full on a written request to [email protected] within 14 days of purchase; access ends when the refund is made.
07

Termination and effect

You may stop using the Services and close your account at any time. We may suspend or terminate your access immediately if you breach these Terms or for operational, legal, or security reasons, with notice where practicable. Upon termination, your right to use the Services ceases. We may retain and use your data as permitted by law and our Privacy Policy. Provisions that by their nature should survive (e.g. IP, liability, indemnity, dispute resolution) will survive termination.
08

Disclaimers

Our total liability for any claims arising from or related to the Services or these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred (100) USD, whichever is greater. Some jurisdictions do not allow certain limitations; in such cases our liability is limited to the fullest extent permitted by law.
10

Indemnification

You agree to indemnify, defend, and hold harmless INITE and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your content, your violation of these Terms, or your violation of any third-party rights or applicable law.
11

Dispute resolution and governing law

These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to conflict of laws principles, unless a different governing law is specified in your Order Form or Statement of Work. Any dispute arising out of or relating to these Terms or the Services shall first be resolved by good-faith negotiation between authorised representatives of each party. If not resolved within thirty (30) days, disputes shall be submitted to the state or federal courts located in Laramie County, Wyoming, USA, and each party consents to the exclusive jurisdiction and venue of those courts, save where binding arbitration is agreed in a separate written agreement. You waive any right to participate in class or representative actions where permitted by law.
12

Changes and notice

We may modify these Terms from time to time. We will post the updated Terms on our website and update the "Last updated" date. For material changes, we will provide notice by email or in-product notification where appropriate. Continued use of the Services after the effective date of changes constitutes acceptance.
